Terms of Service

These Terms of Service, together with the End-User License Agreement below (collectively, the "Terms"), govern your use of SoundWiz, a local AI transcription application for Windows (the "Software"), provided by the SoundWiz team ("we", "us", "our") via sound2note.com. By downloading, installing or using the Software, you agree to these Terms.

1. The Software

SoundWiz transcribes audio recordings on your own computer using locally executed AI models. The Software is offered in a Free edition and a Pro edition. Feature limits for each edition are described on our pricing page.

3. Payments; Merchant of Record

Purchases of the Pro edition are processed by Creem (creem.io), which acts as the Merchant of Record for the transaction. Creem is the legal seller of the purchase, collects payment, handles invoicing, and calculates, collects and remits applicable VAT, GST and sales taxes. Payment details (for example your email address and billing information) are collected and processed by Creem under its own privacy policy, available at creem.io/privacy. We never receive or store your full payment card details.

4. AI-Generated Output

Transcripts generated by the Software are drafts. AI transcription may hallucinate, mix languages, or drift timestamps. Output produced by the Software is not a forensic or legal finding, and human review is required before relying on any transcript. You are responsible for reviewing and verifying all output before using it.

5. Acceptable Use

You agree to use the Software only for lawful purposes and only with audio you have the right to process. You may not use the Software to violate any applicable law, including laws concerning recording consent, privacy, confidentiality or intellectual property.

6. Ownership

The Software is licensed, not sold. We retain all right, title and interest in the Software, including all intellectual property rights. The underlying Whisper models are provided by OpenAI and executed locally via the open-source whisper.cpp project; nothing in these Terms affects those projects' own licenses.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits or goodwill, arising from or related to your use of the Software. Our total aggregate liability for all claims relating to the Software shall not exceed the amount you paid for the Pro edition in the twelve (12) months preceding the claim.

9. Refunds

Pro purchases are covered by our Refund Policy. Refunds are processed by Creem as Merchant of Record.

10. Termination

These Terms apply until terminated by you or by us. Your right to use the Software terminates automatically if you breach these Terms. Sections 4, 6, 7, 8 and 10 survive termination.

11. Changes

We may update these Terms from time to time. The effective date above shows the current version. Material changes will be reflected on this page before they take effect.

Governing law: These Terms are governed by the laws applicable at the vendor's principal place of business, without regard to conflict-of-law rules. Mandatory consumer protection rights in your country of residence are not affected.
